The Mercer | Kepler team hosted a breakfast reviewing the key remuneration trends and notable DRR voting outcomes from the 2019 AGM season so far.

 

Many companies have responded to the significant changes to the UK Corporate Governance Code and investor pay guidelines updates - our breakfast reviewed the range of approaches employed and the market reaction.

BREAKFAST: REMUNERATION POLICY REVIEWS;

WHAT TO MAKE OF THE LATEST INVESTOR THINKING

 

2019 is set to be a busy year for Remuneration Committees and Reward professionals, as the majority of FTSE Main Market companies prepare to submit their remuneration policies to a new binding shareholder vote in the 2020 AGM season. However, navigating the external context for remuneration decision-making remains challenging; a number of updated investor voting policies and proxy advisor remuneration guidelines were published in late 2018, and more will undoubtedly follow.

The Mercer | Kepler team hosted a debate featuring a panel including Andrew Ninian (the IA’s Director of Stewardship & Corporate Governance) and Rachit Gupta (Deputy Head of UK Research at ISS). We discussed the key recent developments in investor thinking, and heard how different companies are planning to reflect these in their 2020 remuneration policy.

BREAKFAST: WHAT DOES "WORLD-CLASS" PAY DESIGN LOOK LIKE?​

 

Most major businesses now operate in an international market for executive talent.  But pay packages are often strongly influenced by home country norms that may be grounded in long-forgotten tax or regulatory requirements.  Does it make sense that European regional executives may be paid very differently depending on whether they work for businesses headquartered in the UK, Japan, the US or Sweden?
 
Our workshop discussed current best practices in an evolving international climate. We looked at the learning from our international experience of structuring senior pay is in different markets including the most effective global pay practices.  And highlighted those to avoid!  
 
Finally, we discussed whether, where corporate governance requirements apply to C-Suite executives who are subject to disclosure and say-on-pay voting, the same framework should be cascaded to other senior employees.

BREAKFAST: AN EMPLOYEE ON THE BOARD - IS THIS THE ANSWER TO THE NEW CODE REQUIREMENTS?

 

The updated UK Corporate Governance Code requires the Board to understand the views of the workforce. It suggests the appointment of an employee director, a formal workforce advisory panel and/or a designated Non-Executive Director - or other method. Many companies are currently reviewing this requirement and looking for an appropriate approach.

The Mercer | Kepler Executive Remuneration team was joined by a Panel including representatives from St James's Place, Marks & Spencer, Rolls-Royce (which has had an employee AGM) and an ex-director of Sports Direct (which had an employee on the board). We discussed the issues and heard how different companies are planning employee engagement in compliance with the new Code requirements.

BREAKFAST: THE FUTURE OF REMUNERATION REPORTING

 

The Companies (Miscellaneous Reporting) Regulations 2018 were made into law in July, and shortly followed by the publication of an updated UK Corporate Governance Code.
 
The Mercer | Kepler Executive Remuneration team led a discussion of the implications of these developments for remuneration reporting, the latest thinking on how the new requirements will be reflected in the Remuneration Report, and the potential opportunities (and pitfalls) of the new reporting regime.
